Raiffeisen Bank International (RBI) remains committed to taking over Addiko Group, while the revocation of ALTA Bank’s operating licence has raised questions over the terms for RBI’s planned sale of Addiko’s banking subsidiaries in Montenegro, Serbia and Bosnia and Herzegovina to ALTA Group. An RBI spokesperson said: “We remain fully committed to acquiring Addiko Group, together with all its banking subsidiaries.”

The issue concerns a planned disposal after the acquisition. The Vienna-based banking group intended to sell the three subsidiaries to ALTA Group, the parent company of ALTA Bank and an Addiko Bank shareholder that backed RBI’s takeover offer. RBI’s stated focus is completing the acquisition, with the next step to be addressed after the transaction closes.

In August, RBI secured support from shareholders holding 56.2% of Addiko Bank, including ALTA Group. The remaining shareholders can accept RBI’s offer to buy their shares until 3 November, during an additional acceptance period.
