Nova Ljubljanska banka d.d. (NLB) has proposed an additional 138.4 million euros dividend for shareholders to consider at a meeting planned for mid-December, the bank said. The proposal would make the payment the second dividend distribution by NLB this year.
The proposed dividend is 6.92 euros gross per share, with payment scheduled for 22 December. NLB paid an earlier dividend of the same total amount on 23 June. Together, the two payments would total 276.8 million euros, equivalent to 55% of NLB’s net profit for 2025.
At the 47th shareholder meeting, investors will also consider a proposal to divide the bank’s existing 20 million shares into 100 million. NLB’s share capital is 200 million euros and is currently divided into 20 million shares without a nominal value. The bank says the split would increase the number of shares held by shareholders without changing their rights. It would not affect holders of global depositary receipts (GDRs), whose number and price would remain unchanged.
NLB President of the Management Board Blaž Brodnjak said the share price rose from 51.50 euros when trading began on 14 November 2018 to 209 euros at the close of trading on 3 November 2026. He said the change reflected “significant progress” by NLB and the group and investor confidence in their business.
Brodnjak said a lower individual share price after the split could make the stock more accessible and trading easier, potentially widening the base of retail and institutional investors. He cited Ljubljana, London and other markets as places where NLB could broaden its investor base, describing the proposal as a “practical step” that would give investors more flexibility and support the bank’s ambition to strengthen its capital-markets presence. Shareholders will vote on the proposals at the planned December meeting.
